1. About these terms
These Terms of Use (“Terms”) are an agreement between you and Dynamik Africa (“Dynamik,” “we,” “us,” or “our”). They apply when you access or use this website and any pages, content, or features made available through it (collectively, the “Site”).
By using the Site, you agree to these Terms. If you use the Site on behalf of an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use the Site.
2. What the Site does
The Site provides information about Dynamik, its convenings, consulting work, initiatives, and ways to contact us. Site content is provided for general informational purposes only. It is not legal, financial, investment, tax, or other professional advice and should not be relied on as such.
Any consulting engagement, event registration, sponsorship, partnership, or other service may be governed by a separate written agreement. If that agreement conflicts with these Terms, the separate agreement controls for the relevant service.
3. Acceptable use
You may use the Site only for lawful purposes. You must not:
- interfere with the Site, its security, or another person's use;
- attempt to gain unauthorized access to any system or data;
- use automated means to scrape, extract, or copy Site content at a scale that burdens the Site or bypasses access controls;
- introduce malicious code or use the Site to distribute harmful material;
- misrepresent your identity or affiliation when contacting us; or
- use the Site or its content in a way that violates applicable law.
We may restrict or block access where we reasonably believe it is necessary to protect the Site, our rights, or others.
4. Intellectual property
The Site and its content—including text, graphics, logos, photographs, video, design, and software—are owned by or licensed to Dynamik and are protected by intellectual property laws. Dynamik Africa and related names, marks, and logos are trademarks or trade names of Dynamik or their respective owners.
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for your own lawful, non-commercial use. Except as permitted by law, you may not reproduce, publish, adapt, distribute, sell, license, or commercially exploit Site content without the prior written permission of the applicable rights holder.
5. Information you send us
If you submit an inquiry, proposal, or other material through the Site, you confirm that you have the right to provide it and that it does not infringe another person's rights. You retain ownership of your material.
You give us permission to use, reproduce, and share that material internally and with service providers only as reasonably necessary to review it, respond, protect the Site, and conduct the business you asked us to consider. Please do not send confidential, sensitive, or proprietary information unless we have agreed in writing to receive it on that basis. 6. Third-party sites
The Site may link to websites or services operated by others. Those links are provided for convenience and do not mean we endorse or control the third party. Their terms and privacy practices apply when you use their services. We are not responsible for third-party sites, content, availability, or practices.
7. Availability and disclaimers
We work to keep Site information useful and current, but we do not promise that it is complete, accurate, current, secure, or continuously available. Programs, events, speakers, partners, timelines, and other information may change without notice.
To the fullest extent permitted by law, the Site is provided “as is” and “as available,” without representations, warranties, or conditions of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
8. Limitation of liability
To the fullest extent permitted by law, Dynamik and its directors, officers, team members, contractors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or opportunities, arising from or related to the Site or these Terms.
To the fullest extent permitted by law, their total aggregate liability for all claims arising from or related to the Site or these Terms will not exceed CAD $100. These limitations do not apply to liability that cannot legally be limited or excluded.
9. Changes and termination
We may change, suspend, or discontinue any part of the Site. We may also update these Terms from time to time. We will post the revised Terms and update the effective date. Your continued use of the Site after the revised Terms take effect means you accept them.
You may stop using the Site at any time. Provisions that by their nature should survive will continue to apply, including provisions concerning intellectual property, disclaimers, liability, and governing law.
10. Governing law
These Terms are governed by the laws of Québec and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any rights you may have under applicable consumer protection law, disputes will be submitted to the courts of Québec, and each party accepts their jurisdiction.
11. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. These Terms are the entire agreement between you and us concerning use of the Site.
